NOTICE OF PUBLIC HEARING: ADOPTION OF ORDINANCE TO SELL TOWN-OWNED PROPERTY, ROUND HILL, VIRGINIA

The Round Hill Town Council will hold a public hearing on July 20, 2022, beginning at 7:30 p.m. at the Round Hill Town Office, 23 Main Street, Round Hill, Virginia to receive public comment and consider adoption of an ordinance to sell four Town-owned parcels. The parcels are identified as PIN #s: 608359393000; Tax Map No: /33////////10/, 16868 Tree Crops Lane, Round Hill, Virginia; 608452175000; Tax Map No: /33/////////9C; 608451461000, Tax Map No: /33/////////9E; and 629498164000, Tax Map No: /30////////15B. The parcel sales are authorized by Virginia Constitution Article VII, Section 9 and Code of Virginia Sections 15.2-1800, -1813 and -2100. Copies of the proposed ordinance and property descriptions are available for inspection and copying in the Town Clerk’s Office and at the Town website: www.roundhillva.org. The regularly scheduled Town Council meeting will begin after the public hearing. If the July 20, 2022 public hearing is canceled, it will be rescheduled for August 3, 2022.

I. REQUEST FOR PROPOSAL

A. Request: Proposals are being accepted by the Town of Round Hill (“Town”) for the purchase of Town-owned property located at 16868 Tree Crops Lane (“Property”), identified as Loudoun County PARID 808358393000. The legal description of the Property is set forth on Schedule A attached hereto and made a part hereof. Responses to this Request for Proposal (“RFP”) shall address all of the components set forth in this RFP.

II. PROPERTY INFORMATION

The Property is a 12.84-acre rectangular shaped site. It is level and on street grade with 916’ of frontage along the east side of Tree Crops Lane. The interior of the site is a vacant lot that has been regularly mowed, with tall grass, shrubs, and some trees along its perimeter. There are five residential properties bordering the site. The site contains a 2.25-acre pond. The Property was previously used by the Town as the “Large Reservoir” to provide a public water source until 1990 when the Town terminated use of the “Large Reservoir”.

The Property is zoned AR-1 (Agricultural/Rural) by Loudoun County. The Property is not in the Town of Round Hill Town corporate Limits. Please reference Loudoun County Zoning Ordinance for a list of permitted uses. The Buyer is responsible for determining whether its intended use of the Property complies with Loudoun County zoning regulations and any covenants and restrictions on the Property.

III. CONDITIONS GOVERNING SALE OF PROPERTY

A. Offer:  Interested parties must offer to purchase the Property listed above. All proposals must be complete and contain the Offer to Purchase (Attachment 1) indicating the amount offered for the Property and a qualification letter from a lender and/or written evidence that the prospective Purchaser possesses liquid assets to acquire the Property with cash. All valid offers submitted shall remain open for 60 days from the opening date of the RFP and the Town reserves the right to formally accept any offer within that time period.

B. Purchase Price: The Purchase Price must be paid in cash at closing. There is a Seller set minimum that is not disclosed at this time.

C. Title and Escrow Costs:  Purchaser shall pay for any title insurance searches and coverage as determined and requested by the Purchaser. All other closing costs, including survey and recording fees and transfer taxes, if any, will be paid by Purchaser.

D. Commission:  Any commission to be paid to an agent or broker shall be paid by the Purchaser and shall not be deducted from the Purchase Price.

E. Earnest Money Deposit:  Sealed proposals must include a minimum earnest money deposit of 5% of the Purchase Price, in the form of a certified or cashier’s check, payable to the Town of Round Hill and must be submitted together with the signed Offer to Purchase (Attachment 1). The earnest money will be returned to all unsuccessful bidders within 60 days of the proposal due date. If a proposal is accepted, the earnest money deposit will be applied to the purchase cost.

F. Pre-Proposal Conference:  A Pre-Proposal Conference will be held on Tuesday, April 5, 2022, at 11:00 am EST. Attendance is highly recommended. The Conference is virtual. The Zoom Link is:

G. Submission of Proposal:  To be considered, sealed proposals must be received by Fieldstone Real Estate 300 E Main St, Purcellville, VA 20132, no later than 3:00 pm EST on Tuesday May 2, 2022. The offeror assumes the risk of timely delivery; if the sealed original proposal is not received by 3:00 pm EST on Tuesday May 2, 2022, it will be deemed to be a late submittal.

The outside of the envelope should be marked “SALE OF REAL PROPERTY 16868 Tree Crop Lane, Loudoun County PARID: 608359393000. THIS ENVELOPE MUST REMAIN SEALED UNTIL May 3, 2022” Hand delivered/couriered proposals should be directed to Fieldstone Real Estate 300 E Main St, Purcellville, VA, Zip Code 20132, United States where they will be date stamped and held until public bid opening. Late submittals will not be considered.

H. Provision of Notices: Those interested in submitting a proposal are encouraged to provide contact information to Fieldstone Real Estate, Real Estate Agent Sean Dunn, sean@fieldstoneRE.com. Providing contact information will allow the Town to provide notification if an addendum to the RFP is issued or the RFP is cancelled. Those who choose not to provide contact information are solely responsible for checking the Town’s website for any issued addenda or a notice of cancellation.

I. Award: The Town Council will select the Proposal that is in keeping with the Town’s best interests and goals. In addition to the amount of the offer, the Town will consider the proposed use of land, contingencies and exceptions contained in each Proposal. The Town Council reserves the right to meet with more than one offeror to discuss the proposal terms. The sale of the Property is subject to a public hearing and final approval of the Round Hill Town Council. The Town Council reserves the right to reject any and all offers.

J. Schedule: The projected schedule is as follows: Pre-Proposal Conference: Tuesday, April 5, 2022, at 11:00 am EST (virtual). Questions Due To: Fieldstone Real Estate, Real Estate Agent Sean Dunn, sean@fieldstoneRE.com: Tuesday, April 12, 2022, at 3:00 pm. Posting of Q & A Document: Friday, April 15, 2022, by Close Of Business. Proposal Submission Deadline: May 2, 2022, at 3:00 pm Proposal Opening: Thursday May 5, 2022, at 3:00 pm EST (virtual). Town Council Review of Eligible Proposals at Town Council Meeting: Wednesday, May 18, 2022. This schedule is subject to change. All times are Eastern Standard Time.

K. Exceptions to this Request for Proposal: Any exceptions from the provisions of this Request for Proposals, which are desired by an offeror, shall be specifically noted in the proposal submitted, including additional requirements or requests. The exceptions to be listed shall include any contingencies to closing the transaction including but not limited to financing and feasibility contingencies.

IV. QUESTIONS

Questions regarding this RFP or the need for additional data or information should be submitted in writing by email to sean@fieldstoneRE.com  no later than Tuesday, April 12, 2022, at 3:00 pm. The Town will post a Q&A document after the deadline for written questions and a link will be emailed to those who have provided contact information. It is recommended that all interested parties visit the Property before submitting a proposal.

V. CONFLICT OF INTEREST INFORMATION

Information on possible conflicts of interest should be provided in the proposal. Such information will be considered in making a decision on the selection of the Proposal. Should a conflict arise during the RFP process, the offeror shall immediately advise the Town of such conflict.
